Applicable to services purchased or engaged through www.access-development.zohostratus.com or associated engagement documents. This policy governs all payments made to Interloop for consulting, advisory, implementation, managed services, custom development, training, and third-party software licensing/subscriptions.
This Refund & Cancellation Policy ("Policy") governs all payments made to Interloop Private Limited or Interloop Consulting LLP ("Interloop", "we", "us", or "our") for consulting, advisory, implementation, managed services, custom development, training, and third-party software licensing/subscriptions ("Services") arranged through our websites or associated engagement documents.
By making a payment to Interloop, or by signing a proposal, statement of work, order form, or engagement letter (collectively, "Engagement Documents"), you ("Client", "you") acknowledge that you have read, understood, and agreed to this Policy. Where an Engagement Document contains refund or cancellation terms specific to a project, those specific terms will prevail over this Policy to the extent of any conflict.
Our Services are professional, time- and expertise-based services and, in many cases, involve procurement of third-party software subscriptions on your behalf. They are not returnable goods. Once professional effort has been applied, resources have been mobilised, or a license has been provisioned, the associated value cannot be "returned". This Policy has been written with that reality in mind.
All fees paid to Interloop are, as a general rule, non-refundable, except where expressly stated otherwise in this Policy or in a signed Engagement Document. In particular, we do not provide refunds for:
Advance payments and retainers reserve our team's capacity and are consumed as work is performed. Once an engagement has commenced, advances and retainers are non-refundable. If an engagement is cancelled before any work has commenced, we may, at our sole discretion, refund the advance after deducting any costs already incurred, including mobilisation, onboarding, planning, tooling, and administrative or payment-processing charges.
Where an engagement is structured in phases or milestones, fees for any milestone that has been started, delivered, or completed are non-refundable, regardless of whether later milestones proceed. Amounts paid towards a future milestone that has not yet commenced may be adjusted against other Services or refunded at our sole discretion, net of costs already incurred.
When we procure, resell, renew, or provision third-party software licenses or subscriptions (including but not limited to Zoho products) on your behalf:

If you wish to cancel an engagement before any work has commenced or any license has been provisioned, please notify us in writing immediately. In such cases we may, at our sole discretion, provide a partial refund after deducting:
Any refund outside the terms of this Policy is granted at the sole and absolute discretion of Interloop and, where approved, will be limited to the unused portion of fees for Services not yet performed, net of costs incurred and non-recoverable charges. A discretionary refund in one instance does not create an obligation or precedent for any future instance.
Refunds, where approved, exclude any non-recoverable taxes, duties, levies, and payment-processing or bank charges already incurred. Applicable taxes (including GST/VAT) are handled in accordance with prevailing law, and only the amounts genuinely recoverable by Interloop will be considered for refund.
Refunds, where approved, will be made in the same currency and to the same payment instrument used for the original payment. Interloop is not responsible for any loss arising from currency exchange-rate fluctuations, foreign-transaction fees, or intermediary bank charges on cross-border refunds; such costs are borne by the Client.
All refund or cancellation requests must be made in writing to [billing email to be confirmed], quoting your invoice number, engagement/project name, payment date, and the reason for the request. Requests must be raised within 7 days of the relevant payment or event; requests received after this window may not be considered. We will acknowledge your request and respond, typically within 10 business days.

Where a refund is approved, it will be processed within 15–30 business days of approval, subject to the timelines of banks, payment gateways, and (where applicable) third-party vendors. Actual credit to your account depends on your bank's or card issuer's processing time, which is outside our control.
We ask that you contact us first to resolve any billing concern. Initiating a bank or card chargeback without first raising the matter with us is a breach of this Policy. In the event of a chargeback, Interloop reserves the right to suspend all Services, treat outstanding amounts as immediately due, dispute the chargeback with supporting documentation, and recover any resulting costs.
Interloop shall not be liable to refund fees for delays or non-performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, government action, changes in law, internet or infrastructure failures, or failures, changes, or discontinuation of third-party platforms and vendors.
Nothing in this Policy is intended to exclude or limit any rights you may have under applicable law that cannot lawfully be excluded or limited. Where any provision is found unenforceable, the remaining provisions continue in full force.
This Policy and any dispute arising from it shall be governed by and construed in accordance with the laws of India, and the courts at New Delhi, India shall have exclusive jurisdiction. For engagements contracted through our UAE operations, the parties may agree in the relevant Engagement Document to the application of UAE law and jurisdiction; in the absence of such agreement, the foregoing governing law applies.
Interloop reserves the right to amend, modify, or update this Policy at any time without prior notice. The version published on our websites at the time of your payment applies to that transaction. We encourage you to review this Policy periodically.
